RETURNDOTAI TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By clicking "I Agree to Returndotai's Terms of Service" or by accessing or using the Returndotai Service (as defined below), you ("You," "Your," or "Merchant") agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms or the Privacy Policy, you may not access or use the Service.

"Returndotai," "we," "us," or "our" refers to the service provider of the returns management platform. You must be at least eighteen (18) years of age to use the Service.

2. DESCRIPTION OF SERVICE

The Returndotai service (the "Service") is a returns management platform for Shopify merchants that enables you to automate, manage, and optimize product returns and exchanges. The Service includes:

  • A merchant dashboard for managing return requests and policies
  • A customer-facing returns portal for your end-customers
  • Automated workflows for returns processing, exchanges, and refunds
  • Integration with Shopify and third-party carriers
  • Analytics and reporting features

3. LICENSE AND ACCESS

3.1 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, Returndotai grants you a worldwide, non-exclusive, non-transferable, and revocable right to access and use the Service during the Subscription Term for your internal business purposes only.

3.2 Account Management

You are responsible for:

  • Maintaining the confidentiality of your Account credentials
  • All activities that occur under your Account
  • Ensuring only authorized users access your Account
  • Promptly notifying us of any unauthorized access

4. PROHIBITED USES AND RESTRICTIONS

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload content that infringes intellectual property rights
  • Transmit viruses, malware, or other harmful software
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, sublicense, or transfer the Service to third parties
  • Interfere with or disrupt the Service or servers

5. DATA AND CONTENT

5.1 Your Data

"Data" means all information, content, and materials you provide or generate through the Service. You represent and warrant that:

  • You own or have all necessary rights to the Data
  • The Data does not infringe third-party intellectual property rights
  • You have obtained all necessary consents for data collection
  • Your Data collection complies with all applicable laws

5.2 Data Retention and Deletion

Upon termination of your Account, you may request export of your data within fourteen (14) days. After this period, we may delete your data while retaining only what is necessary to comply with legal obligations.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Returndotai Intellectual Property

All content, features, functionality, software, designs, and materials related to the Service are and remain the exclusive property of Returndotai. This includes all intellectual property rights such as copyrights, patents, trademarks, and trade secrets.

6.2 Trademarks

The Returndotai name, logo, and all related marks are the exclusive trademarks of Returndotai. You are not granted any rights to use these trademarks without our prior written authorization.

7. FEES AND PAYMENT

7.1 Subscription Fees

You agree to pay all fees associated with your selected subscription plan. Fees are typically billed monthly or annually in advance. All fees are in United States Dollars (USD) unless otherwise specified. Payment processing is handled through Shopify's billing system or our designated payment processor.

7.2 No Refunds Policy

ALL PAYMENTS FOR SUBSCRIPTION FEES ARE STRICTLY NON-REFUNDABLE, NO EXCEPTIONS. This includes but is not limited to:

  • Partial month or unused subscription periods
  • Downgrading to a lower-tier plan
  • Cancellation of subscription for any reason
  • Dissatisfaction with the Service features or performance
  • Service outages, interruptions, or technical issues
  • Changes in your business needs or requirements

By subscribing to the Service, you acknowledge and agree that you will not be entitled to any refunds under any circumstances, except as may be required by applicable law.

7.3 Billing Errors and Disputes

If you believe there has been a billing error, you must notify us within thirty (30) days of the charge appearing on your statement. After this period, you waive any right to dispute the charge. We will investigate billing errors but reserve the right to make the final determination.

7.4 Failed Payments and Suspension

If any payment fails or is declined, we may immediately suspend or terminate your access to the Service without notice. You remain liable for all unpaid fees plus any collection costs, including reasonable attorney fees.

8. TERM AND TERMINATION

8.1 Subscription Term

Unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current Term, your subscription will automatically renew for successive periods of equal length.

8.2 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately terminates
  • All unpaid fees become immediately due
  • You have fourteen (14) days to export your data before deletion

9. WARRANTIES AND DISCLAIMERS

9.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RETURNDOTAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE RESULTS OR OUTCOMES FROM USE OF THE SERVICE
  • WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED

9.2 System Errors and Technical Issues

You acknowledge and agree that the Service may experience technical issues, bugs, system errors, downtime, or interruptions. This includes but is not limited to:

  • Incorrect refund processing (including duplicate refunds, partial refunds, or missed refunds)
  • Processing delays or failures in returns management
  • Data synchronization errors with Shopify or third-party systems
  • Calculation errors in pricing, fees, or refund amounts
  • Integration failures with payment processors or shipping carriers
  • Service outages, downtime, or performance degradation
  • Loss, corruption, or unauthorized access to data

RETURNDOTAI SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR EXPENSES ARISING FROM SUCH TECHNICAL ISSUES, ERRORS, OR FAILURES, REGARDLESS OF CAUSE.

9.3 Third-Party Integrations

The Service integrates with third-party platforms including Shopify, payment processors, and shipping carriers. We do not warrant the availability, accuracy, or functionality of these third-party services. Any issues arising from third-party services are beyond our control and we assume no liability for them.

10. LIMITATION OF LIABILITY

10.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETURNDOTAI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

10.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETURNDOTAI SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL
  • LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES
  • DAMAGES ARISING FROM DUPLICATE REFUNDS, INCORRECT REFUNDS, OR MISSED REFUNDS PROCESSED THROUGH THE SERVICE
  • DAMAGES ARISING FROM SYSTEM ERRORS, BUGS, GLITCHES, OR SOFTWARE DEFECTS
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • DAMAGES ARISING FROM SERVICE INTERRUPTIONS, DOWNTIME, OR PERFORMANCE ISSUES
  • DAMAGES ARISING FROM ERRORS IN AUTOMATED WORKFLOWS OR RETURN PROCESSING
  • DAMAGES ARISING FROM INTEGRATION FAILURES WITH SHOPIFY OR THIRD-PARTY SERVICES
  • ANY DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE

10.3 Financial Transaction Errors

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT RETURNDOTAI SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSSES OR DAMAGES ARISING FROM REFUND PROCESSING ERRORS, INCLUDING BUT NOT LIMITED TO DUPLICATE REFUNDS, MULTIPLE REFUNDS, INCORRECT REFUND AMOUNTS, OR MISSED REFUNDS. SUCH ERRORS MAY OCCUR DUE TO SOFTWARE BUGS, SYSTEM MALFUNCTIONS, DEVELOPER ERRORS, THIRD-PARTY INTEGRATION FAILURES, OR OTHER TECHNICAL ISSUES. YOU ASSUME ALL RISK AND LIABILITY FOR SUCH ERRORS AND AGREE TO HANDLE ANY RESULTING FINANCIAL DISCREPANCIES DIRECTLY WITH YOUR CUSTOMERS.

10.4 Basis of the Bargain

These limitations reflect an allocation of risk between you and Returndotai. The limitations in this Section 10 will apply even if Returndotai has been advised of the possibility of such damages and even if any remedy fails of its essential purpose. These limitations are fundamental elements of the basis of the bargain between you and Returndotai.

11. INDEMNIFICATION

11.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Returndotai, its affiliates, officers, directors, employees, agents, licensors, and suppliers (collectively, "Indemnified Parties") from and against any and all third-party claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your breach of these Terms or violation of applicable laws
  • Your Data or content submitted through the Service
  • Infringement of third-party intellectual property or other rights
  • Claims from your customers regarding refunds, returns, or exchanges processed through the Service
  • Financial disputes arising from duplicate refunds, incorrect refunds, or refund processing errors
  • Any negligent or wrongful acts or omissions by you or your employees
  • Your violation of any third-party rights, including privacy rights

11.2 Customer Disputes

YOU ARE SOLELY RESPONSIBLE FOR ALL CUSTOMER DISPUTES, CLAIMS, AND COMPLAINTS RELATED TO RETURNS, REFUNDS, AND EXCHANGES PROCESSED THROUGH THE SERVICE. THIS INCLUDES BUT IS NOT LIMITED TO DISPUTES ARISING FROM DUPLICATE REFUNDS, INCORRECT REFUND AMOUNTS, PROCESSING DELAYS, OR ANY OTHER SYSTEM ERRORS. RETURNDOTAI SHALL NOT BE A PARTY TO SUCH DISPUTES AND YOU AGREE TO RESOLVE THEM DIRECTLY WITH YOUR CUSTOMERS AT YOUR OWN EXPENSE.

11.3 Defense and Settlement

At our option, we may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us. You may not settle any claim without our prior written consent.

12. MERCHANT RESPONSIBILITIES AND RISK ALLOCATION

12.1 Merchant Acknowledgments

By using the Service, you expressly acknowledge, understand, and agree that:

  • You are solely responsible for monitoring all refund transactions processed through the Service
  • You must implement your own verification and reconciliation processes for financial transactions
  • The Service is a tool to assist with returns management, not a guarantee of error-free processing
  • System errors, bugs, and technical failures may occur and are an inherent risk of using software services
  • You are responsible for maintaining adequate financial reserves to handle refund discrepancies
  • You must have appropriate insurance and risk management policies in place

12.2 Refund Processing Errors - Merchant Liability

YOU EXPRESSLY ASSUME ALL FINANCIAL RISK AND LIABILITY FOR REFUND PROCESSING ERRORS. This includes:

  • DUPLICATE REFUNDS: If the same refund is processed multiple times (twice, thrice, or more) due to system errors, bugs, or developer faults
  • INCORRECT REFUND AMOUNTS: If refunds are processed for incorrect amounts (too high or too low)
  • MISSED REFUNDS: If refunds fail to process or are delayed
  • UNAUTHORIZED REFUNDS: If refunds are issued without proper authorization
  • CURRENCY CONVERSION ERRORS: If refunds are processed in incorrect currencies or with wrong exchange rates

YOU AGREE THAT RETURNDOTAI SHALL HAVE NO OBLIGATION TO REIMBURSE, COMPENSATE, OR MAKE YOU WHOLE FOR ANY SUCH ERRORS. ALL FINANCIAL LOSSES FROM REFUND PROCESSING ERRORS ARE YOUR SOLE RESPONSIBILITY.

12.3 No Recourse for System Failures

You acknowledge that Returndotai shall not be liable for any losses, damages, or expenses arising from:

  • Application crashes, freezes, or malfunctions
  • Database corruption or data loss
  • Server downtime or hosting issues
  • API integration failures or rate limiting
  • Network connectivity problems
  • Software bugs, coding errors, or logic flaws introduced by developers
  • Security breaches or unauthorized access
  • Third-party service interruptions (Shopify, payment processors, etc.)

12.4 Testing and Verification

You are responsible for thoroughly testing the Service in a non-production environment before using it with live customer data and real financial transactions. You must verify that all refund processing, workflows, and integrations function correctly for your specific use case before relying on the Service for production operations.

13. FORCE MAJEURE

Returndotai shall not be liable for any failure to perform its obligations under these Terms where such failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. ENTIRE AGREEMENT AND SEVERABILITY

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Returndotai regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. The invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original provision.

15. GOVERNING LAW AND JURISDICTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.2 Exclusive Jurisdiction

Any legal action, suit, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts located in Bengaluru, Karnataka, India. You irrevocably consent and submit to the exclusive jurisdiction of such courts and waive any objection to venue or inconvenient forum.

15.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES HEREBY WAIVE THEIR RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time in our sole discretion. We will notify you of material changes via email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately cease using the Service.

17. NO WAIVER

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Returndotai's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. ASSIGNMENT

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. Any attempt by you to assign these Terms without our consent will be null and void.

19. SURVIVAL

The following sections shall survive termination of these Terms: Fees and Payment (Section 7), Intellectual Property Rights (Section 6), Warranties and Disclaimers (Section 9), Limitation of Liability (Section 10), Indemnification (Section 11), Merchant Responsibilities and Risk Allocation (Section 12), Governing Law and Jurisdiction (Section 15), and any other provisions that by their nature should survive.

21. ACKNOWLEDGMENT

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND RETURNDOTAI AND SUPERSEDE ANY PRIOR PROPOSALS, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND RETURNDOTAI RELATING TO THE SUBJECT MATTER OF THESE TERMS.
